1. About KibaPay

KibaPay is a marketplace platform that connects independent consultants (Vendors) with businesses (Clients) seeking digital agency services. KibaPay is operated from the United States. KibaPay is not itself a service provider, employer, staffing agency, bank, financial institution, or regulated payment service.

2. Nature of the platform

KibaPay provides a venue for Vendors and Clients to discover each other, agree on project terms, exchange work, and process payments. KibaPay is not a party to any service agreement between a Vendor and a Client. Accordingly:

• KibaPay does not control how Vendors perform their work;
• KibaPay does not guarantee the quality, accuracy, legality, or fitness for purpose of any deliverable produced by a Vendor;
• KibaPay does not vet or certify Vendor qualifications beyond the profile information Vendors submit;
• Clients engage Vendors directly and assume all risk associated with that engagement, subject to KibaPay's dispute mediation process.

3. Vendor independent contractor status

Vendors are independent contractors. They are not employees, agents, or representatives of KibaPay. KibaPay does not withhold taxes, provide benefits, or carry liability insurance on behalf of any Vendor. Vendors are solely responsible for their own taxes, compliance obligations, and professional licences.

The relationship between a Vendor and a Client is that of independent contractor to client. Nothing in the Platform or any Project agreement creates an employment or partnership relationship between a Vendor and a Client.

4. No performance guarantees

KibaPay does not guarantee business outcomes, search rankings, traffic volumes, conversion rates, or revenue results from services procured through the Platform. Such outcomes depend on Vendor performance, Client implementation, third-party algorithms, market conditions, and other factors outside KibaPay's control.

5. Third-party platforms and tools

Vendors frequently use third-party platforms — hosting providers, CMS systems, advertising networks, analytics tools — in delivering services. KibaPay is not responsible for the availability, terms, or performance of those platforms. Clients should maintain their own accounts with third-party platforms and ensure compliance with those platforms' terms of service.

6. Data security disclosure

KibaPay applies industry-standard security practices, including:

• TLS encryption for all connections to the Platform;
• Password hashing and salting (passwords are never stored in plaintext);
• Role-based access controls restricting who can view account and project data;
• Encrypted storage for sensitive credentials.

Despite these measures, no system is fully secure. KibaPay will notify affected users of any confirmed security incident as required by law.

7. Platform availability

KibaPay aims to keep the Platform available continuously but does not guarantee uninterrupted access. Scheduled maintenance, emergency repairs, or events outside KibaPay's reasonable control may cause downtime.

8. Intellectual property notices

“KibaPay” and the KibaPay logo are trademarks of KibaPay. All other trademarks, logos, and brand names on the Platform belong to their respective owners. References to third-party platforms and tools (e.g. Google, Meta, Shopify, WordPress) are descriptive only and do not imply endorsement or affiliation.

9. DMCA copyright notice

If you believe content on the Platform infringes your copyright, please send a notice meeting the requirements of 17 U.S.C. § 512(c) to compliance@kibapay.net with the subject line “DMCA Notice.” Your notice must include: (a) signature of the copyright owner or authorised representative; (b) identification of the infringed work; (c) identification of the allegedly infringing material; (d) your contact information; (e) a good-faith belief statement; and (f) a statement under penalty of perjury that the information is accurate.

10. Regulatory and legal enquiries

Regulators and law-enforcement authorities should direct enquiries to compliance@kibapay.net. KibaPay responds to lawful process directed to KibaPay.
